Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Fuzzify(the “Service”), a competitor price and product intelligence platform operated by Fuzzify (“Fuzzify,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and “you” refers to that entity.

If you do not agree to these Terms, you may not use the Service.

Fuzzify lets you import your own product catalog and your competitors’ catalogs (by website URL or CSV upload), uses artificial intelligence to match your products to comparable competitor products, suggests prices based on those matches, and monitors tracked competitor product pages for price and availability changes. The Service is provided on a subscription basis according to the plan you select.

We may add, change, or remove features at any time. AI-generated matches, similarity scores, and price suggestions are provided for your information only and may be inaccurate or incomplete (see Section 8).

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

You agree that you will not, and will not permit anyone else to:

• Use the Service to import, scan, or monitor any website in violation of that website's terms of use, applicable law, or a valid legal request.
• Attempt to circumvent authentication, rate limits, robots directives, or other access controls of third-party sites through the Service.
• Reverse engineer, decompile, scrape, or resell the Service, or use it to build a competing product.
• Upload content you do not have the right to use, or that infringes the intellectual property or privacy rights of others.
• Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it or its related systems.
• Use the Service for any unlawful, deceptive, or harmful purpose.

You are solely responsible for the URLs you choose to scan and monitor and for ensuring that your use of publicly available competitor data complies with all laws applicable to you.

You retain all rights to the catalog data, CSV files, URLs, and other content you submit to the Service (“Your Content”). You grant us a worldwide, non-exclusive license to host, process, transmit, and display Your Content solely as needed to operate and improve the Service for you, including sending it to the third-party AI and infrastructure providers described in our Privacy Policy.

You represent that you have all rights necessary to submit Your Content and to authorize the processing described in these Terms.

• Plans and fees. Paid plans are billed in advance on a recurring basis (for example, monthly or annually) at the price shown at checkout. Fees are exclusive of taxes unless stated otherwise.
• Renewal. Subscriptions renew automatically for the same term unless you cancel before the end of the current billing period.
• Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you keep access until then.
• Refunds. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods.
• Changes. We may change prices with reasonable notice; changes apply on your next renewal.

The Service relies on third-party providers (including hosting, database, AI, web-scraping, and email vendors) and interacts with third-party websites you choose to scan. We are not responsible for the content, availability, accuracy, or practices of those websites or providers. Your use of a third-party site through the Service is at your own risk and subject to that site’s own terms.

Matches, similarity scores, price suggestions, and monitoring alerts are generated with automated and AI-based methods. They may be incomplete, out of date, or incorrect, and they are not financial, legal, or business advice. You are responsible for reviewing suggestions before acting on them and for the pricing and business decisions you make. The Service is a decision-support tool, not a substitute for your own judgment.

The Service, including its software, design, and trademarks, is owned by Fuzzify and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes during your subscription. We may use aggregated, de-identified data derived from use of the Service to operate and improve it.

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if your use poses a risk to us or others. On termination, your right to use the Service ends and we may delete Your Content after a reasonable period, subject to our Privacy Policy and legal obligations.

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any result or output will be accurate or reliable.

To the maximum extent permitted by law, Fuzzify and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability arising out of or related to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) USD 100.

You will indemnify and hold harmless Fuzzify from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, your choice of websites to scan or monitor, or your breach of these Terms or of any law or third-party right.

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or an in-app notice). Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the jurisdiction in which Fuzzify is established, without regard to conflict-of-laws rules. The courts of that jurisdiction will have exclusive jurisdiction over any dispute, except where mandatory local law provides otherwise.
